From the Transparency Portal, users may access all the information on transparency covered by the Canary Islands Transparency Act, Law 12/2014, of 26 December, on transparency and access to public information (BOC No. 5, 9 January 2015), as well as the basic national transparency law, Law 19/2013, of 9 December, on transparency, access to public information and good governance (BOE No. 295, 10 December 2013).

2. TRANSPARENCY PROTOCOL

This document sets out the transparency policies regarding the management and publication of information by AGRORINCON S.L., whose main business activity is the wholesale trade of fruit and vegetables, as well as the manufacture of vegetable juices and preserves.

Mainly, these include:

  • A transparency portal on our company website, where the organisational chart and operations, the services we provide, and articles of interest are published.
  • Annual publication of the Activities Report and accountability to society as a whole.
  • Identification of the sources of funding and annual amounts received by the company.
  • Filing of the company’s financial documentation (Annual Accounts) with the Commercial Registry of Tenerife.
  • And everything else that, as a company, we are required to address under Law 12/2014 on Transparency of the Government of the Canary Islands.

Transparency and access to public information must be fundamental nowadays. Knowledge about the management of public aid, especially when managed by private companies, should be available to citizens, since it affects them directly.

Canary Islands Law 12/2014, of 26 December, on Transparency and Access to Public Information, requires this. However, our company also understands that it is necessary in order to promote citizens’ trust in the proper management of scarce public resources.

This protocol aims to define and develop the actions and procedures required to comply with current legislation and to define the transparency strategy of AGRORINCÓN S.L. At the same time, it seeks to legally comply with the requirements established by the Commissioner for Transparency and Access to Public Information of the Canary Islands, through the protocol established in the IT Canarias Application aimed at private entities, thus responding to an evaluation and continuous improvement process and fostering the quality of the organisation’s actions.

The ethical principles that guide our company are:

  • The representatives of the entity shall perform their duties in accordance with its bylaws and the legal system applicable to the entity and shall adjust their activity to the ethical and conduct principles contained in this Protocol.
  • They shall act transparently in the management of the entity, in accordance with the principles of effectiveness, economy and efficiency, adopting decisions exclusively for the benefit of the public interest, citizens and the people attended to on a daily basis.
  • They shall respect the principle of impartiality in their actions, free from any particular interest.
  • They shall be accountable for their decisions and actions.
  • They shall ensure equal treatment without discrimination of any kind in the exercise of their duties.
  • They shall act with due diligence in fulfilling their obligations and shall promote quality in the provision of services.

Agrorincón S.L. thus complies with the Transparency Act, Canary Islands Law 12/2014 of 26 December, expanding the organisation’s transparency and guaranteeing the right of access to information. Through the Transparency Portal on our website www.agrorincon.com, we comply with the current Canary Islands Transparency Act, setting out the current map of obligations established by law for private entities. Citizens may access all public information relating to this entity.

3. INSTITUTIONAL

3.1 GENERAL INFORMATION:

The company Agrorincón S.L. was incorporated for an indefinite period on 19 July 1994 before the notary Mr Saro Calamita. It is registered with the Commercial Registry of Santa Cruz de Tenerife, sheet TF-8937, folio 124, volume 1,126 of the General Section, entry 1, dated 03/08/1994.

Its registered tax address is Calle El Jardín, number 120, in the municipality of Los Realejos, Santa Cruz de Tenerife.

3.2 APPLICABLE REGULATIONS:

3.3 FUNCTIONS PERFORMED BY THE COMPANY:

Agrorincón S.L. has as its main purpose the wholesale purchase of fruit and vegetables, although it also includes the manufacture of vegetable juices and preserves. Its corporate purpose also includes the acquisition, processing and production of fertilisers, plants, seeds, insecticides, materials, tools, facilities and any other elements necessary for agricultural production and promotion; the preservation, classification, packaging, distribution, marketing and export, including directly to consumers, of products from agricultural holdings; the acquisition, improvement and development of land intended for agriculture; and the provision of agricultural technical assistance and advice to other companies in the sector.

4.2 PROFILE OF THE PROFESSIONAL TEAM

Wenceslao Martínez-Barona Zerolo’s background in this sector comes from his family, whose parents owned avocado farms, and from seeing very early on that this would be a highly favourable market niche to develop. Wenceslao surrounded himself with agronomy professionals with expertise in the field and decided to invest in the avocado sector, buying or leasing various plots in the north of the island of Tenerife in order to verify the efficiency of avocado cultivation in the area, encouraging other farmers to change their traditional crops to avocado and mango cultivation. Agrorincón S.L. became the company responsible for purchasing the harvests of these small farmers and introducing them into the markets for sale.

Over the years, and in response to demand on the island of La Palma, Agrorincón also opened operations there, with a warehouse for avocado packing, so that farmers from La Palma would have a place where they could market their harvests. Unfortunately, the warehouse where the company was located in La Palma was buried under lava flows in September 2021, and it had to move to other premises on the island in order to continue providing services to those farmers and enable the remaining avocado production on the island to reach the market.

Wenceslao has known how to steer this ship, despite the complexity involved in trading perishable products, which depends not only on human factors, but also on climate, insularity and all the natural setbacks that may occur, all of which demonstrate his great professionalism.

Audit reports and reviews by external control bodies

The company was not required to audit its accounts in the 2022 financial year because, pursuant to Article 263.2 of the Capital Companies Act, companies are exempt from this obligation if, for two consecutive financial years, at the closing date of each of them, they meet at least two of the following conditions:

  • The total assets do not exceed 2,850,000 euros.
  • The net annual turnover does not exceed 5,700,000 euros.
  • The average number of employees during the financial year does not exceed 50.

Companies shall lose this exemption if, for two consecutive financial years, they cease to meet two of the circumstances referred to in the previous paragraph.

7. AID AND SUBSIDIES

In 2021, we were beneficiaries of a public subsidy from the Government of the Canary Islands, within the framework of the Resolution of the Directorate General for Economic Promotion granting direct subsidies aimed at mitigating the economic damage caused to companies and individuals by the volcanic eruptions on the island of La Palma. Decree Law 14/2021, of 28 October, regulating the general framework for processing emergency aid procedures intended to alleviate the needs arising from the emergency situation caused by the volcanic eruptions on the island of La Palma, establishes the general regulatory framework for the processing of aid grant procedures by the various Departments of the Administration of the Autonomous Community of the Canary Islands.

We received from the Government of the Canary Islands, managed by the Chamber of Commerce of Santa Cruz de Tenerife, the amount of 315,000 euros, corresponding to the 2022 and 2023 financial years, in relation to file number 0188-2022. The income was received on the following dates: 01/04/2022 an amount of €45,000.00; 19/07/2022 an amount of €45,000.00; 31/12/2022 an amount of €90,000.00; 31/01/2023 an amount of €90,000.00; and the final payment on 05/06/2023 of €45,000.00.

We also received, on 22/12/2023, the amount of €18,000.00 from a subsidy granted by Los Llanos de Aridane Town Council to promote recovery through the creation of a new company or economic activity in the municipality by companies with a permanent establishment that lost their business due to the volcano.

We were also exempted from payment of Social Security contributions during the 2022/2023 financial years, in the amount of €26,370.98, for workers affected by ERTE on the island of La Palma due to the volcanic eruption.

We also received payment of transport compensation (corresponding to the 2021 and 2022 financial years) for goods regulated by Royal Decree 552/2020, of 2 June, in the following amounts: on 31/12/2022 the amount of €13,371.62 corresponding to the 2021 aid; on 02/01/2023 the amount of €13,371.62 corresponding to the 2021 aid; and on 02/01/2024 the amount of €16,756.54 corresponding to the 2022 aid.

7.1 Grant co-financed by the European Social Fund Plus (ESF+)

Beneficiary organisation of grants awarded to companies and equivalent bodies in the private sector participating in operations co-financed by the European Social Fund Plus under the 2021–2027 ESF+ Programme for the Autonomous Community of the Canary Islands, as part of the initiative ‘Support for Dual Training during the training phase outside the educational establishment’.
